Services Overview
1.1. AI Consulting Services
The Company provides comprehensive AI consulting services including: (i) strategic AI implementation planning; (ii) ethical AI framework development; (iii) technical architecture design; (iv) training and capability building; (v) compliance and risk assessment; (vi) performance optimization; and (vii) integration support.
1.2. Service Level Agreements
The Company commits to: (i) response time within 4 business hours; (ii) resolution time within agreed project timelines; (iii) service availability of 99.9% uptime; (iv) support hours Monday through Friday, 9 AM to 6 PM MT; and (v) emergency support available 24/7 for critical issues.
Professional Services Terms
2.1. Project Engagement
All engagements require: (i) Statement of Work (SOW); (ii) change order procedures; (iii) acceptance criteria; (iv) testing procedures; (v) documentation requirements; and (vi) knowledge transfer protocols.
2.2. Deliverables
All deliverables are subject to: (i) specification requirements; (ii) quality standards; (iii) review procedures; (iv) revision processes; (v) acceptance terms; and (vi) maintenance agreements.
User Responsibilities
3.1. Client Obligations
Users must: (i) provide accurate information; (ii) maintain security credentials; (iii) comply with acceptable use policies; (iv) report security incidents; (v) maintain required permissions; (vi) update contact information; and (vii) participate in required training.
Intellectual Property
4.1. Ownership Rights
Intellectual property terms cover: (i) pre-existing IP ownership; (ii) new IP developed during services; (iii) joint IP development terms; and (iv) license grants and restrictions.
4.2. Usage Rights
Usage terms govern: (i) software licenses; (ii) documentation usage; (iii) training materials; (iv) proprietary information; and (v) third-party content.
Confidentiality
5.1. Protected Information
Confidential information includes: (i) business strategies; (ii) technical specifications; (iii) pricing information; (iv) customer data; (v) employee information; and (vi) proprietary processes.
5.2. Security Requirements
Protection measures include: (i) security protocols; (ii) access restrictions; (iii) storage requirements; (iv) transmission security; and (v) destruction procedures.
Termination
6.1. Termination Rights
Termination may occur through: (i) convenience with 30 days notice; (ii) cause with immediate effect; (iii) non-payment with 15 days notice; or (iv) mutual agreement.
6.2. Post-Termination Obligations
Following termination: (i) data return/destruction; (ii) transition assistance; (iii) final payments; (iv) surviving obligations; and (v) continued confidentiality requirements.
Limitation of Liability
7.1. General Limitations
Liability limits include: (i) aggregate liability cap; (ii) exclusion of indirect damages; (iii) carve-outs for gross negligence; (iv) insurance requirements; and (v) force majeure provisions.
7.2. AI-Specific Disclaimers
We disclaim liability for: (i) algorithm performance; (ii) data accuracy; (iii) model limitations; (iv) integration risks; and (v) implementation challenges.
Dispute Resolution
8.1. Resolution Process
Disputes shall be resolved through: (i) informal resolution (15 days); (ii) mediation (30 days); (iii) binding arbitration; and (iv) venue in Albuquerque, New Mexico.
8.2. Arbitration Terms
Arbitration shall follow: (i) JAMS rules; (ii) single arbitrator; (iii) confidential proceedings; (iv) cost sharing; and (v) limited discovery.

9.1. Regulatory Compliance
We maintain compliance with: (i) CCPA; (ii) GDPR where applicable; (iii) state privacy laws; (iv) industry regulations; and (v) data protection requirements.
9.2. Professional Standards
We adhere to: (i) industry best practices; (ii) ethical AI principles; (iii) security standards; (iv) quality management; and (v) documentation requirements.
Changes to Terms
10.1. Modification Process
Changes to terms require: (i) 30 days advance notice; (ii) material changes notification; (iii) continued use constitutes acceptance; and (iv) right to terminate if changes are unacceptable.
